Description

This course considers aspects of the law relating to companies, partnerships and other trading structures and provides an introduction to personal and corporate insolvency law.

This course intends to provide a basic framework of the law underlying the formation and practice of various business structures including companies, joint ventures and partnership and an introduction to the basic principles of individual insolvency.  With the diverse and complex nature of these areas of law, the course focuses on important principles rather than the detail. It is not intended to be a course for law students but for accountancy students requiring an overview of the law of various organisations.

Learning Outcomes

By the end of this course it is expected that the student will be able to:
1. Acquire knowledge and understanding of the foundation elements of the law relating to business structures and insolvency.
2. Demonstrate the ability to use analytical thinking and problem-solving skills to address problems in these areas.
3. Communicate effectively both orally and in written form.
4.   Develop an appreciation of the importance of these areas of  law in a professional environment.
5. Critically evaluate particular areas of the present law and consider whether reform is desirable.

Students should have a copy of either CCH's Companies and Securities Legislation for Students, New Zealand Company Legislation (2013), or Butterworths Company Law Statutes incorporating the Companies Act 1993, the Partnership Act 1908 and the Limited Partnerships Act 2008.

NOTE: You must purchase a copy of the commercial legislation as you can take it into the Term Test and the Final Examination.
